Wholesale Terms and Conditions

Professor Diddlysquat’s Emporium

By placing a wholesale order with Professor Diddlysquat’s Emporium, the purchaser (“Customer”) agrees to the following Terms and Conditions.

1. Wholesale Eligibility

Wholesale purchases are intended for qualified retailers, online stores, pop-up sellers, festival sellers, and other approved resellers. Professor Diddlysquat’s Emporium may request a valid resale certificate, tax-exemption certificate, business license, or other business information before accepting an order.

2. Payment Terms

• Credit card payment only.
• The Customer is responsible for any returned-payment or chargeback fees permitted by law.

3. Pricing

All prices are wholesale prices and are subject to change without notice. Prices do not include sales tax, shipping charges, special handling fees, or other applicable charges unless specifically stated.

Customers claiming a sales-tax exemption must provide valid exemption documentation before the order is processed.

4. Shipping and Free Freight

Orders totaling less than $200 are subject to applicable shipping and handling charges.

Orders totaling $200 or more receive free standard freight within the contiguous United States. The $200 minimum is calculated after discounts and before taxes.

Free freight does not include expedited shipping, international shipping, shipments to Alaska or Hawaii, special delivery services, lift-gate service, inside delivery, or oversized or unusually heavy merchandise. Additional charges for these services will be quoted or charged separately.

Professor Diddlysquat’s Emporium will select the carrier and shipping method for orders qualifying for free freight. Shipping and delivery dates are estimates and are not guaranteed.

5. All Sales Final—No Returns

All wholesale sales are final. Professor Diddlysquat’s Emporium does not accept returns or exchanges for unsold merchandise, buyer’s remorse, incorrect quantities ordered, customer ordering errors, or changes in market demand.

Products may not be returned without prior written authorization from Professor Diddlysquat’s Emporium. Unauthorized returns will not be accepted, credited, or refunded.

6. Damaged, Defective, or Incorrect Merchandise

The Customer must inspect each shipment promptly upon delivery. Damaged, defective, missing, or incorrectly shipped merchandise must be reported in writing within three (3) business days after delivery.

The report must include the invoice or order number, a description of the problem, and clear photographs of the product and shipping packaging. The Customer must retain all products and packaging until the claim is resolved.

If Professor Diddlysquat’s Emporium confirms that merchandise was damaged, defective, missing, or shipped incorrectly, Professor Diddlysquat’s Emporium may, at its discretion, replace the affected merchandise or issue a credit. This claims process does not create a general right of return.

Damage caused by misuse, improper handling, storage, display, modification, or normal wear is not eligible for replacement or credit.

7. Order Changes and Cancellations

Orders may not be changed or canceled after they have entered processing or shipping. Any approved change or cancellation must be confirmed in writing by Professor Diddlysquat’s Emporium.

8. Product Availability

All orders are subject to product availability and acceptance by Professor Diddlysquat’s Emporium. Professor Diddlysquat’s Emporium may limit quantities, discontinue products, substitute packaging, correct pricing errors, or cancel an order when necessary. If an unavailable item has already been charged, Professor Diddlysquat’s Emporium will issue an appropriate refund or credit.

9. Resale of Products

The Customer is responsible for complying with all laws, regulations, tax requirements, marketplace rules, and product-labeling requirements applicable to the Customer’s resale activities.

The Customer may not make false, misleading, or unauthorized claims about Professor Diddlysquat’s Emporium or its products.

10. Limitation of Liability

To the fullest extent permitted by law, Professor Diddlysquat’s Emporium will not be liable for lost profits, lost sales, business interruption, or any indirect, incidental, special, or consequential damages arising from an order, shipment, delay, product, or these Terms and Conditions.

The total liability of Professor Diddlysquat’s Emporium relating to any claim will not exceed the amount paid for the merchandise that gave rise to the claim.

11. Governing Law

These Terms and Conditions are governed by the laws of the State of [Insert State], without regard to conflict-of-law principles. Any dispute must be brought in a court of competent jurisdiction located in [Insert County and State], unless applicable law requires otherwise.

12. Changes to These Terms

Professor Diddlysquat’s Emporium may revise these Terms and Conditions at any time. The version in effect when an order is accepted will apply to that order.

13. Acceptance

Placing an order, providing payment information, accepting delivery, or purchasing products from Professor Diddlysquat’s Emporium constitutes the Customer’s acceptance of these Terms and Conditions.
